  6. This agreement is made and entered into this date by and among the 
  7. following persons (hereinafter collectively referred to as the 
  8. "Partners") for the purpose of forming a General Partnership for 
  9. the term and upon the conditions hereinafter set forth.

  19. In consideration of the mutual covenants contained herein, it is 
  20. agreed by and among the above-named Partners, as follows:

  22. .TX2 *** DESCRIPTION OF BASIC STRUCTURE OF GENERAL PARTNERSHIP **
  23.                             ARTICLE I
  24.  
  25.                          BASIC STRUCTURE
  26.  
  27. 1.1  Form.  The Parties hereby form a General Partnership 
  28. pursuant to the laws of the State of {STATE/NAME}.
  29.  
  30. 1.2  Name.  The business of the Partnership shall be conducted 
  31. under the name of {PARTSHIP/NAME}.
  32.  
  33. 1.3  Place of Business.  The principal office and place of 
  34. business of the Partnership shall be located at {PARTSHIP/LOCATION}, 
  35. or at such other place as the Partners may from time to time 
  36. designate.

  38. 1.4  Term.  The Partnership shall commence on {BEGIN/DATE}, and

  42.      (a)  By completion of the purpose intended, or

  44.      (b)  Pursuant to this Agreement, or

  48.      (d)  By death, insanity, bankruptcy, retirement, withdrawal, 
  49. resignation, expulsion or disability of all of the then Partners.

  51. 1.5  Purpose.  The purpose or purposes for which the Partnership 
  52. is organized is, or are, as follows:

  54. .TX3 *** PURPOSE CLAUSE FOR PARTNERSHIP - ALL LAWFUL PURPOSES ***
  55.      ({!P}) To transact all lawful business for which Partnerships 
  56. may be organized under the laws of the State of {STATE/NAME}.

  58. .TX4 *** PURPOSE CLAUSE FOR PARTNERSHIP - ACCOUNTING PRACTICE ***
  59.      ({!P}) To  render service to the public in the practice of 
  60. public accounting, which shall consist of any and all work or 
  61. duties within the scope of public accountants, such as making 
  62. audits or accounts  for  and  of  individuals,  proprietors, 
  63. partnerships, government agencies or bodies or other persons or 
  64. organizations; keeping, examining and inspecting financial books 
  65. and accounts; devising, installing and giving direction for the 
  66. management of accounting, financial, checking, correspondence, 
  67. filing and other office systems, methods and forms; investigating 
  68. fiduciaries and stewardships; compiling commercial and industrial 
  69. \statistics, inventory, balance sheets, income, profit and loss, 
  70. and operating statements; examining the accounts and physical and 
  71. financial condition of any organization and reporting the same to 
  72. those interested therein and warranting the accuracy of the work 
  73. done on services performed.

  75. .TX5 *** PURPOSE CLAUSE FOR PARTNERSHIP - ARCHITECTURE *******
  76.      ({!P}) To render architectural services to the public, which 
  77. shall include planning, designing, evaluating,  investigating and 
  78. superintending  the  construction of sites,  buildings  or  other 
  79. architectural  structures;  preparing architectural drawings  and 
  80. specifications; evaluating bids upon architectural proposals; and 
  81. preparing cost estimates upon architectural proposals.

  83. .TX6 *** PURPOSE CLAUSE FOR PARTNERSHIP - CHIROPRACTIC *********
  84.      ({!P}) To render service to the public in the practice of 
  85. chiropractic, which shall include the preventing, diagnosing,  
  86. curing or relieving in any degree, diseases, injuries, ailments, 
  87. or defects by attendance, advice or any therapeutic agent, in 
  88. particular through manipulation and adjustment of articulations 
  89. and joints of the human body, such as the spinal vertebrae, where 
  90. these are displaced, subluxated or otherwise causing pressure on 
  91. the nerves.

  93. .TX7 *** PURPOSE CLAUSE FOR PARTNERSHIP - DENTISTRY PRACTICE ****
  94.      ({!P}) To  render service to the public in the practice of 
  95. dentistry, which shall consist of the diagnosing, treating, 
  96. prescribing, or operating in any degree for any disease, pain, 
  97. deformity, injury, deficiency or physical condition of the human 
  98. tooth, teeth alveolar process, gums, jaws, or dependent tissues.

  100. .TX8 *** PURPOSE CLAUSE FOR PARTNERSHIP - ENGINEERING PRACTICE **
  101.      ({!P}) To render service to the public in the practice of 
  102. {ENGINEER/TYPE} engineering, which shall consist of any and all 
  103. work or duties within the scope of {ENGINEER/TYPE} engineers, 
  104. such as designing, modeling,  erecting, constructing, maintaining, 
  105. altering, and the repairing, demolishing, and restoration work of 
  106. all descriptions, including machines, buildings, plants, roads, 
  107. bridges, waterways, engines, vessels, utility works and factories; 
  108. consulting and rendering  advice  and representing the public as 
  109. to matters of engineering;  and applying mathematics and science 
  110. to render the properties  of matter and the sources of energy in 
  111. nature useful to the public.

  113. .TX9 ***  PURPOSE CLAUSE FOR PARTNERSHIP - FAMILY COUNSELING ****
  114.      ({!P}) To render service to the public in the practice of 
  115. family counseling, which shall include providing advice, guidance, 
  116. testing and assistance, collecting case histories and other 
  117. related data, utilizing psychological methods, including personal 
  118. interviews and otherwise treating emotional, psychological or 
  119. other distress of or between families or family members; and 
  120. prescribing plans for action to alleviate or eliminate such 
  121. distress.

  123. .TX10 *** PURPOSE CLAUSE FOR PARTNERSHIP - LAW PRACTICE *********
  124.      ({!P}) To render service to the public in the practice of 
  125. law, which shall consist of consulting and rendering legal advice 
  126. on any cause or matter whatsoever, including the laws, statutes, 
  127. rules, regulations, contracts, legal principles and any documents 
  128. or relationships having legal effects; drafting legal documents 
  129. and opinions for the purpose of implementing such legal advice, 
  130. representation and arrangements; and preparing and managing the 
  131. prosecution or defense of causes before the courts or before 
  132. other tribunals or agencies.

  134. .TX11 *** PURPOSE CLAUSE FOR PARTNERSHIP - MANUFACTURING ********
  135.      ({!P}) To manufacture, fabricate and assemble the following 
  136. products:  {MANUFACTURED/PRODUCTS}; and to sell, lease, promote 
  137. and otherwise deal in the same and in related products and 
  138. services and to manufacture, fabricate and assemble the tools, 
  139. materials and equipment reasonably necessary for such processes.

  141. .TX12 *** PURPOSE CLAUSE FOR PARTNERSHIP - MEDICAL PRACTICE *****
  142.      ({!P}) To render service to the public in the practice of 
  143. medicine, which shall consist of the diagnosing, curing, or 
  144. relieving in any degree of any human disease, ailment, defect or 
  145. complaint, whether of physical or mental origin, by attendance or 
  146. by advice, or by prescribing or furnishing any drug, medicine, 
  147. appliance, manipulation or method, or by any therapeutic agent.

  149. .TX13 *** PURPOSE CLAUSE FOR PARTNERSHIP - NATUROPATHY PRACTICE *
  150.      ({!P}) To render service to the public in the practice of 
  151. naturopathy, which shall consist of the diagnosing, curing, or 
  152. relieving in any degree of any human disease, ailment, defect, or 
  153. complaint, whether of physical or mental origin, by attendance or 
  154. by advice, or by prescribing or furnishing any drug, medicine, 
  155. appliance, manipulation or method or by any therapeutic agent 
  156. emphasizing assistance to nature including the use of natural 
  157. medicinal substances and physical manipulation and treatment.

  159. .TX14 *** PURPOSE CLAUSE FOR PARTNERSHIP - OIL & GAS OPERATIONS *
  160.      ({!P}) To acquire,  invest in, hold, distribute, hypothecate 
  161. and  sell interests in oil and gas exploration,  development  and 
  162. production ventures in a manner designed to provide the  Partners 
  163. with  a  greater  diversity in such investments than  they  could 
  164. attain  if such investments were made individually and to  manage 
  165. such investments for the Partners.

  167. .TX15 *** PURPOSE CLAUSE FOR PARTNERSHIP - OPTOMETRY PRACTICE ***
  168.      ({!P}) To render service to the public in the practice of 
  169. optometry, which shall consist of the examination of the human 
  170. eye to ascertain the presence of defects or abnormal conditions 
  171. which may be, or the effects of which may may be, corrected, 
  172. remedied or relieved by the use of lenses, prisms, or other 
  173. mechanical devices; the employment of objective or subjective 
  174. physical means to determine the accomodative or refractive 
  175. conditions of the range or powers of vision or muscular 
  176. equilibrium of the human eye; the adaptation or the adjustment of 
  177. the lenses or prisms to correct, relieve or remedy the effect of 
  178. any defect or abnormal condition of the human eye; and measuring 
  179. the powers of vision of the human eye and adapting lenses for the 
  180. aid thereof.

  182. .TX16 *** PURPOSE CLAUSE FOR PARTNERSHIP - OSTEOPATHY PRACTICE **
  183.      ({!P}) To render service to the public in the practice of 
  184. osteopathy, which shall consist of the diagnosing, curing or 
  185. relieving in any degree of any human disease, ailment defect or 
  186. complaint, whether of physical or mental origin, by attendance or 
  187. by advice, or by prescribing or furnishing any drug, medicine, 
  188. appliance, method or manipulation, or by any therapeutic agent.

  190. .TX17 *** PURPOSE CLAUSE FOR PARTNERSHIP - PHARMACY OPERATION ***
  191.      ({!P}) To render service to the public in the practice of 
  192. pharmacy, including preparing, preserving, compounding, producing, 
  193. and dispensing medicines, drugs, prescription or other chemicals; 
  194. and selling or producing physicians' and surgeon supplies and 
  195. instruments, crutches, artificial limbs, prosthetic devices of 
  196. any kind, cosmetics, soaps and dyes.
